Rule 506( c ) is a safe harbor for private offerings by issuers. It has provided that offers and sales by an issuer are exempt from registration under Section 4(a)(2) of the Securities Act as long as certain conditions are met. On July 10, 2013, the Securities and Exchange Commission (the “Commission”) adopted rule changes that permit general solicitation and general advertisement in private offerings made in reliance on Rule 506 under the Securities Act of 1933, as long as all sales are to “Accredited Investors”.

Each EB-5 Visa investment of $500,000 to $1,000,000 in a store must create 10 new jobs over a period of two years for the Green Card to become permanent.
